Premium & Executive Program Terms

PLEASE READ the agreement CAREFULLY

Effective Date: January 1, 2026

These Terms apply to designated Premium, Executive, Mastermind, or Enterprise programs.

In the event of conflict, these Terms control.

No Refunds

All payments are final and non-refundable.

Access to digital materials and services may begin immediately upon enrollment.

By enrolling, you acknowledge you are not entitled to cancellation or reversal once access is granted, except where prohibited by law.

PERSONAL GUARANTY

For payment plans exceeding $10,000:

The individual purchaser personally guarantees full payment.

If signing on behalf of an entity, the signatory personally guarantees payment obligations.

Failure to pay permits acceleration and collection action.

Payment obligations may not be withheld, offset, or reduced due to dissatisfaction or dispute.

No Reliance

Participant acknowledges they are not relying on guarantees of specific financial, promotional, or business outcomes not expressly stated in these Terms.

Intellectual Property & Liquidated Damages

Unauthorized reproduction, resale, distribution, or commercial misuse entitles PepTalkHer to liquidated damages equal to the greater of:

• $100,000 per violation;

• Five (5) times the program value;

• Actual damages proven.

This represents a reasonable estimate of anticipated harm and is not a penalty.

PepTalkHer may seek injunctive relief and attorney’s fees.

Confidentiality

Participants must maintain strict confidentiality of shared business strategies, compensation information, and personal disclosures.

Non-Solicitation

Participants may not solicit fellow members for competing services for twelve (12) months following participation.

Prevailing Party Fees

The prevailing party in any dispute shall be entitled to reasonable attorney’s fees and costs.

Confidential Arbitration

All disputes shall be resolved through confidential arbitration in New York, NY.

Arbitration shall be conducted on an individual basis only.

Class arbitration and consolidation are not permitted.

Jury trial is waived.
